Charles Caliman has more than 10 years of experience as a corporate/transactional attorney. With extensive work in the private equity space, Charles' clients have spanned a wide range of institutional investors, from domestic pension plans and non-profit corporations, to foreign pension plans and banks. As lead in-house counsel, Charles has closed over $10 billion in private equity investments, including separate account agreements, single and multi-investor fund-of-fund agreements, primary and secondary private equity investments, and portfolio company co-investments, and strategies such as venture capital, leveraged buyout, distressed debt, credit, infrastructure and special situations. He also has experience with domestic and international marketing matters, prospective client presentation materials, requests for proposals, ensuring SEC compliance and advising on Investment Advisers Act Issues.

Beyond traditional private equity work, Charles has represented high-net worth individuals, venture capitalists, and real estate firms in transactions related to underlying real property, technology, medical device, and cannabis assets, as well as entrepreneurs and business start-ups across various industries. During his time as general counsel for an eSports start-up company, Charles also handled licensing agreements, sponsorship agreements, player agreements, and legal participation agreements.

Charles is adept at counseling investment professionals on the business implications of complex legal terms with a focus on risk identification, assessment and mitigation. He balances legal and business considerations in a way that prioritizes practicality and maximizes efficiency for clients.

Outside of the office, Charles' passions include music, sports, art, history, and zen meditation.
